Toasted

Terms and conditions

This is a translation for information; the German version is authoritative.

1 Scope and contracting party

(1) These terms apply to all orders via toasted-official.com and toasted-clothing.com and via the customer account at konto.toasted-official.com. Your contracting party is Jost Niemann, trading as “Toasted”, Rudolf-Diesel-Straße 5, 26135 Oldenburg, Germany (“we”).

(2) A consumer is any natural person concluding a transaction for purposes predominantly outside their trade or profession (Section 13 BGB). A business customer acts in the exercise of their trade or profession when concluding the contract (Section 14 BGB).

(3) Section 12 additionally applies to orders placed by retailers in the retailer area. Deviating terms of the customer do not apply unless we expressly agree.

2 Minimum age

We sell only to persons aged 18 and over. By ordering you confirm that you are of legal age. If there is doubt about your age, we may decline the order; any payment already made will then be refunded without delay.

3 Conclusion of contract

(1) The presentation of products in the shop is not a binding offer but an invitation to order.

(2) You add items to your cart, enter your delivery and billing address at checkout and choose a payment method. Before submitting, you see an overview of all items, prices and shipping costs and can check and correct your entries at any time via “Back” or the cart. By clicking “Order with obligation to pay” you submit a binding offer for the goods in your cart.

(3) You are then forwarded to the chosen payment provider (Stripe or PayPal). The contract is concluded as soon as the payment has been completed successfully. We confirm the conclusion of the contract by email without delay (order confirmation). If the payment is not completed, no contract is concluded.

(4) For retailers we have approved for purchase on account, the contract is concluded with our order confirmation by email.

(5) The contract language is German. This English version is for information only. We store the contract text. You receive the order details with the order confirmation and the invoice as a PDF. You can view your orders in your customer account at any time. You can access, save and print these terms on this page at any time.

4 Prices and shipping costs

(1) All prices for consumers are final prices including statutory VAT. Prices in the retailer area are net plus VAT.

(2) Shipping costs apply in addition. They are shown on the “Shipping & payment” page and at checkout before you place your order.

5 Delivery and pre-orders

(1) We deliver to Germany and to all member states of the European Union.

(2) Unless stated otherwise for an item, delivery takes 3–5 working days within Germany and 3–10 working days to other EU countries, starting on the day after receipt of payment.

(3) Items marked as pre-orders are shipped from the delivery date stated for the item. Pre-orders and items available immediately must be ordered separately.

(4) If an item is unexpectedly unavailable, we will inform you without delay and refund any payments already made without delay.

6 Payment

(1) You can pay by credit card or Apple Pay (processed by Stripe) or with PayPal. The available payment methods are shown at checkout.

(2) The purchase price is due when the order is completed and is collected via the chosen payment provider.

(3) Retailers we have approved may buy on account. The invoice amount is payable without deduction within the payment term stated on the invoice.

7 Retention of title

The goods remain our property until paid in full. With respect to business customers, we retain title until all claims arising from the ongoing business relationship have been settled.

8 Right of withdrawal

Consumers have a statutory right of withdrawal; details are set out in the withdrawal policy. You can also declare the withdrawal online via “Withdraw from contract”; the link is at the bottom of every page. Business customers have no right of withdrawal.

9 Warranty

(1) The statutory warranty rights apply.

(2) For business customers, the limitation period for claims for defects in new goods is one year from delivery. This does not apply to damage claims under Section 10, in cases of fraudulent intent, or to recourse claims under Sections 445a and 478 BGB.

(3) If goods are delivered with obvious transport damage, please complain to the carrier immediately if possible and inform us. Your statutory rights remain unaffected.

10 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee we have given.

(2) For slightly negligent breach of an essential contractual obligation – one whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely – our liability is limited to the typical, foreseeable damage. Otherwise, liability for slight negligence is excluded.

(3) These limitations also apply in favour of our vicarious agents.

11 “Roast level” loyalty programme (terms of participation)

(1) With a customer account you take part in the loyalty programme free of charge. It applies to orders via toasted-official.com and toasted-clothing.com.

(2) You receive 10 points for every euro of paid merchandise value, i.e. the value after discounts and less refunds, excluding shipping costs; gross for consumers, net for retailers. You also receive one-time bonus points for subscribing to the newsletter and confirming the subscription, and for stating in your account that you follow our Instagram account. The amount of bonus points is shown on the loyalty page.

(3) Your roast level is based on the points of the last 12 months. The levels, the points required and the discounts are shown on the loyalty page or, for retailers, in the retailer area. You keep a level you have reached for at least 12 months; after that it is again based on the points of the last 12 months.

(4) The discount of your roast level is deducted automatically at checkout on all non-reduced items when you are logged in. It does not apply to sale items or shipping costs and cannot be combined with other discounts on the same item.

(5) Points are not credit. They cannot be paid out, transferred or converted into money. If an order is withdrawn or refunded, the points for it are deducted.

(6) We may change or end the programme with four weeks’ notice and will inform you by email. A level already reached remains valid until the end of its term unless we end the programme. In case of abuse, such as fake orders, we may deduct points and end participation.

12 Additional provisions for retailers

(1) Access to the retailer area requires review and approval by us; there is no entitlement to approval. The retailer area is intended exclusively for businesses.

(2) The net and tiered prices, minimum order quantities and minimum order values shown in the retailer area apply. Starter sets are delivered on the terms stated in the retailer area.

(3) Shipping costs for retailers are shown on the “Shipping & payment” page and at checkout. Deviating agreements require text form.

(4) For deliveries to retailers in other EU member states with a valid VAT identification number, we invoice a tax-exempt intra-Community supply without German VAT. The retailer confirms that the goods are intended for their business and will be transported to the other member state, and provides the necessary evidence on request.

(5) Retailers must inspect the goods without delay after delivery and notify defects without delay in text form (Section 377 HGB). Goods can only be returned in case of defects or by separate agreement.

13 Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

14 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the country in which they have their habitual residence.

(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Oldenburg.

(3) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
